Infanterie-Regiment 421 byl pro 125. pěší divizi sestaven v říjnu 1940 ve Vojenském výcvikovém prostoru Münsingen. Pro zformování I. praporu byl použit III. prapor Pěšího pluku 56 5. pěší divize, II. prapor vznikl ze III. praporu Pěšího pluku 480 260. pěší divize. Nově zformován byl štáb a III. prapor.
